Surveillance Event

1. Definitions

1.1 In these terms and conditions unless the context otherwise requires, the following expressions shall have the following meanings:

1.3 A reference to any one gender shall include the other.

1.4 The singular shall include the plural and vice versa.

1.5 References to persons shall include individuals, firms, companies, unincorporated associations, partnerships  and government entities (whether or not having a separate legal personality).

1.6 A reference to any party shall include its successors in title and permitted assigns.

1.7 Clause headings are for convenience only and shall not affect the construction of the Contract.

 

2. The Price

The Price payable for the Services as detailed shall be payable as follows:

2.1 The full balance due shall be paid within seven days of booking confirmation from SpooksUnlimited.

 

3. Cancellation by the Client

If the client gives SpooksUnlimited less than 14 days notice to cancel or change the date of booking then an administration fee of 50% will be payable. If 15 days or more notice is given to cancel then 25% is payable. In this instance alternate booking dates will be offered by to the client.

 

4. Cancellation and Changes by the Company

4.1 Whilst every effort is made by the Company to carry out the Services, the Company retains the right to change elements of the Services if it is necessary due to circumstances beyond it's control including, but not limited to, adverse weather conditions or unavailability of suitable staff.

4.2 The Company reserves the right to cancel provision of the Services if it is necessary due to circumstances beyond the Company's control including, but not limited to, adverse weather conditions, accessibility to the site where the Event is to be held and/or suitability of the terrain of the site where the Event is to be held.

4.3 Where the Company cancels the event further to clauses 4.1 and 4.2 alternative event dates will be made available to the client. If the dates are not convenient to the client then the client shall be entitled to a full refund.

 

5. Obligations of the Client

The Client shall ensure that he has read and understood the pre-course briefing, health & safety advice and other course material. He shall come equipped with clothing and footwear appropriate for the Event and that if necessary he has taken medical advice regarding his fitness to undertake the event in a safe manner.

 

6. The Company's Authority at the Event

The Client agrees on its own behalf and for each and every person attending the Event that in respect to provision of the Services,

 

6.1 that the opinion of the Company is final in regard to matters of safety

6.2 to comply with any request or order made by the Company in the interests of safety howsoever expressed

6.3 to comply with any reasonable instruction given by the Company for any other reason

6.4 The Company reserves the right to request any person attending the Event to cease using the Services if in the opinion of the Company the person is behaving in a dangerous, unreasonable or disruptive manner and the Client agrees to procure that each and every person attending the Event will comply with such request. In such circumstances the Company will be under no liability to the Client or the person attending the Event in respect of any refund of the Price or compensation for any costs or damage, which may be incurred, by the Client or the person attending the Event.

 

7. Liability of the Client for Damage

The Client agrees that in the event of damage being caused to any, vehicles or equipment of whatsoever nature supplied by the Company for the purposes of providing the Services the Client will be liable for the each and every vehicle or piece of equipment so damaged as follows:

7.1 if the damage arises out of any act or omission of any person attending the Event the Client shall be liable for the first £300.00 on each and every item

7.2 if the cause of the damage is determined to be deliberate the Client shall be liable for all the damage so caused or the full replacement value of each and every item, whichever is less.

 

8. Warranties and Liability of the Company

8.1 The Company agrees to exercise all reasonable skill and care in the provision of the Services.

8.2 All warranties, conditions and other terms implied by statute or common law are, to the fullest extent permitted by law, excluded from the Contract.

8.3 The Company shall not be liable to the Client for any indirect or consequential loss or damage (whether for loss of profit, loss of business, depletion of goodwill or otherwise), costs, expenses or other claims for consequential compensation whatsoever (howsoever caused) which arise out of or in connection with the Contract.

8.4 the Company has no liability to the Client or any person attending the Event (other than liability for death or personal injury resulting from the Company's negligence) for any loss or damage of any nature, howsoever caused, arising out of or in connection with provision of the Services or for the property of the Client or person attending the Event.

8.5 The Company's total liability in contract, tort (including negligence or breach of statutory duty), misrepresentation, restitution or otherwise, arising in connection with the performance or contemplated performance of the Contract shall be limited to the level of Public Liability Insurance carried by the Company at the date of the Event a copy of which is available on request.

 

9. General

9.1 Each right or remedy of the Company under these Conditions is without prejudice to any other right or remedy of the Company whether under the Contract or not.

9.2 If any provision of the Contract is found by any court, tribunal or administrative body of competent jurisdiction to be wholly or partly illegal, invalid, void, voidable, unenforceable or unreasonable it shall to the extent of such illegality, invalidity, voidness, voidability, unenforceability or unreasonableness be deemed severable and the remaining provisions of the Contract and the remainder of such provision shall continue in full force and effect.

9.3 Failure or delay by the Company in enforcing or partially enforcing any provision of the Contract will not be construed as a waiver of any of its rights under the Contract.

9.4 Any waiver by the Company of any breach of, or any default under, any provision of the Contract by the Client will not be deemed a waiver of any subsequent breach or default and will in no way affect the other terms of the Contract.

9.5 The parties to this Contract do not intend that any term of this Contract will be enforceable by virtue of the Contracts (Rights of Third Parties) Act 1999 by any person that is not a party to it.

9.6 The formation, existence, construction, performance, validity and all aspects of the Contract shall be governed by English law and the parties submit to the exclusive jurisdiction of the English courts.

 

10. Communication

Each notice shall be addressed to the address of the party concerned set out in this Document or to such other address as may be notified in writing for this purpose from time to time.

 

11. Environment & Operation Document.

Access to the Event

 

The Surveillance Experience is designed to reflect the real-life demands and expectations of an undercover surveillance operative. Practically all participants should ensure that they are of reasonable health and capable of undertaking physical exercise to the extent of running for a method of public transport and should wear clothing consistent with this expectation.

There is no expectation that participants on an event should undergo any more strenuous activities than those mentioned above nor should they do so.
